Combat Veterans Motorcycle Association (CVMA)
NAME AND EMBLEM c
Article 1
Section 1(a)
The name of the association is: Combat Veterans Motorcycle Association, Missouri Chapter 3, Charlie Co.
Section 1(b)
IRC Section 501(c)(19) Purposes Combat Veterans Motorcycle Association is organized exclusively for charitable, religious, educational and/or scientific purposes as specified in 501(c)(19) of the Internal Revenue Code, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(19) of the Internal Revenue Code. The BOD has the authority to change the CVMA bylaws if any part is found to be in conflict with Federal or MO state tax laws.
Section 2
The emblem/logo used by the Combat Veterans Motorcycle Association is the sole property of CVMA. The CVMA patch and logo cannot be reproduced without license from the BOD. The emblem of the Combat Veterans Motorcycle Association is in the shape of a skull encompassed by the following colors. The incorporated colors are: Red, representing the blood that has been shed on the battlefield. The Military Gold, representing all branches of the military service of the United States. Black, representing the heavy hearts possessed for those who gave their lives and for those that are considered missing in action or prisoners of war. The Skull and ace of spade represents the death that war leaves in its wake.
OBJECTIVES
Article 2
General: Combat Veterans Motorcycle Association Protocol.
The Combat Veterans Motorcycle Association is formed for the betterment of communication and camaraderie between other Motorcycle Associations, Veterans Organizations, and/or Motorcycle Groups.
Section 1
To promote interest in various forms of motorcycle activity associated with Veterans.
Section 2
To create and maintain camaraderie among Combat Veterans from all U.S. Branches of Service and its allies.
Section 3
To support Veteran Organizations.
Section 4
To raise awareness for the plight of POWs, MIAs, and their families.
Section 5
To conduct Association functions and activities in a manner befitting the members of the Combat Veterans Motorcycle Association members and as well as the associations Auxiliary Members.
Section 6
To encourage a better understanding of motorcycle riders as a constructive sport among members of the public, press, and law enforcement agency.
MEMBERSHIP
Article 3
Definitions
The term "Good Standing" shall be defined as any person who has fulfilled the requirements for membership in the Combat Veterans Motorcycle Association, who is not currently under disciplinary review or probationary status for disciplinary reasons, who has paid the necessary dues and conformed to the requirements as set forth in these bylaws.
Section 1
Any person:
(a) Of good character.
(b) Who is a Veteran of a Foreign War, "Combat".
(c) The ONLY Acceptable proof for membership to the Combat Veterans
Motorcycle Association is a copy of one's DD 214 or ERB which must be surrendered to the BOD for verification.
(d) Annual dues of $20 will be assessed for all Full Members (Combat Veterans)
and $10 for Support Members (non-combat veterans). Dues for CVMA members deployed in a war zone will be waived. Dues for all members are payable by June 30th of each year. Dues for all new members joining between January 1st and June 30th will be considered as paid in full for the balance of the current dues year and the following dues year. Dues for new members joining between July 1st and December 31st will be for the current dues year only. (e) Must own and operate a Motorcycle of 500cc or above.
(f) Should a full member resign they will be given a 5 day grace period to rescind their resignation with no repercussions. After the 5 day grace period a member will have to re-apply for membership as a new member and will require BOD approval.
(g) Active members in good standing with the CVMA for one year who become infirm disabled or otherwise unable to ride their motorcycles will be able to keep their patch and be retired as members in good standing with the CVMA. Members must submit medical documentation and a minimum of one year as a member and/or NBOD approval is required.
(h) Life members, if for health reasons can no longer ride at their discretion, remain members in good standing with full voting privileges and can keep their patch.
(i) Life membership’s requirements, 3 years active in the CVMA. Member must be in good standing for all three years. Minimum participation of one sanctioned CVMA event per year is required. Cost for life membership is $200. If a life member quits for any reason or the member is removed from the CVMA rolls for any reason, no refunds will be made. Section 2 (a) Auxiliary members:
(a) Must be of good character.
(b) All Auxiliary members must be a spouse, widow or widower of a full member in good standing with the CVMA.
(c) Must support the efforts of ALL branches of the United States of Americas Armed Forces and the Combat Veterans Motorcycle Association.
(d) Will have no vote in CVMA business.
(e) Cannot hold a position on the BOD.
(f) $10.00 annual dues will be assessed. Section 2 (b)
Support members:
(a) Must be of good character.
(b) Must own and operate a motorcycle of 500cc or greater. (c) Maximum number of support members will not exceed (10%) total CVMA full Combat membership. (d) Support members must be a veteran of the United States Armed Forces.
(e) Support members will read and abide by all CVMA bylaws applicable to them.

4. Duties of Officers
(f) Support members are required to submit their application through a full member of the CVMA who has held a membership for not less than one year. Support members are required to have either ridden a minimum of 3,000 miles with their sponsor, attended three CVMA events or be known by their sponsor for a minimum of 6 months. A full member submitting an application for a support member should verify they meet the above criteria. Only 1 support member can be vouched on per year by an individual CVMA member. Support members will be at a 1 to 10 ratio, 1 support member to 10 full members based on state.
(g) Will have no vote in CVMA business.
(h) Cannot hold an elected position in the Chapter.
(i) $10.00 annual dues will be assessed and a CVMA Support ID will be issued.
(j) Support members in good standing can wear a small CVMA Support Patch on the front of their vest or jacket, which will be supplied by their sponsor. Support members can also wear the 10 inch support back patch which will be supplied by their sponsor.
Section 3
By applying for membership with the Combat Veterans Motorcycle Association, you are giving the Combat Veterans Motorcycle Association and its Board of Directors the right to verify any membership application and DD Form 214 records.
Section 4
(a) Each member should attend a minimum of at least one (1) event hosted by the Combat Veterans Motorcycle Association per year. This can also be an event in any member's state if prior approval is obtained by the state representative from the governing body of the Combat Veterans Association.
(b) Any full member who is still a member of the Armed Forces of the USA who attends the previous year’s Nationals, but cannot, because of Military deployment to a combat zone, attend the current year national meeting will be given credit for the National and will be authorized a rocker for the National patch that will read, for example, DEPLOYED 20XX.
Section 5
All members MUST conduct themselves in a manner that is not an embarrassment to themselves, the Combat Veterans Motorcycle Association, or the United States of America.
Section 6
All members must possess a valid motorcycle driver’s license endorsed by their state as well as proof of insurance for their motorcycle.
Section 7
(a) In the event of misconduct of a member, under the bylaws of the Combat Veterans Motorcycle Association, the Board of Directors possesses the right to revoke that member's membership. Misconduct is defined as failure to abide by the bylaws of the Combat Veterans Motorcycle Association and any organization that the Combat Veterans Motorcycle Association supports.
(b) Bringing dishonor upon the Combat Veterans Association in action, word(s), or deeds. Always remember WE ARE NOT, NOR DO WE CLAIM TO BE, A MOTORCYCLE CLUB! WE DO NOT HAVE COLORS! WE HAVE VETERAN'S INSIGNIA! We do not prospect. We do have membership fees.
FEES AND DUES
Article 4
National dues are as prescribed by Article 4: MEMBERSHIP of the National Bylaws, DUES, dtd 14 NOV 11.
ELECTIONS
Article 5
Section 1
All nominees for any office must be active and in good standing in the association with a minimum of 1 full year in CVMA membership.
Section 2
All officers are to be nominated and elected at the October meeting. Elections will take place after the end of Old Business but prior to the start of New Business. The new BOD will then assume office and complete the scheduled meeting. Officers will hold that office for 12 months. Consecutive terms are permitted.
Section 3
Should an elected officer resign from office for any reason the Chapter will elect a replacement to serve the remainder of the term.
DUTIES OF OFFICERS
Article 6
Section 1
COMMANDER; Will preside over all meetings of the chapter, issue the call for regular, special meetings and insure they are held in accordance with these bylaws. When deemed appropriate the Commander can conduct a closed session meeting. The Chairman of the Fund Raising Committee will be at the discretion of the Commander.
Section 2
EXECUTIVE OFFICER; Will perform all duties of the Commander in his absence and other duties as are assigned by the Commander.
Section 3
SECRETARY; Will keep minutes of the general membership meetings and other duties as are assigned by the Commander. The Secretary will coordinate and inform to the BOD and chapter of bylaw changes at NBOD and other situations that may affect the current chapters bylaws.
Section 4
TREASURER; Will collect dues and all other forms of income due to the association, maintain the accounting books, make payments from the associations funds as so ordered by the Commander, co-sign (if available) all chapter checks and make regular reports of the chapter financial status to the general membership. The outgoing Treasurer must submit a complete financial report per NBOD, Financial, Article 9, Section 3 to the incoming Treasurer within 30 days from relinquishing the Treasurers position.
Section 5
SERGEANT OF ARMS; Will maintain order during all meetings, check membership ID cards as necessary before each meeting and other duties as assigned by the Commander.
MEETINGS
Article 7
Section 1
A quorum of conducting business shall be those present at a scheduled monthly meeting.
Section 2
The President’s rule of order will be applied during meetings to affect parliamentary procedures.
DELEGATES
Article 8
Section 1
The chapter will have delegate votes based on chapter membership. One delegate vote per 15 full members. Delegate votes will be used for National agenda items. Votes for National officers will not be changed and will still be taken by full members in actual attendance at the Nationals.
Section 2
Delegates will be appointed by the Commander to represent the chapter at any convention, meeting, rally, or other assembly that may be deemed necessary, and all delegations are authorized to exercise only those powers specifically vested in them by the Board of Directors.
AMENDMENTS
Article 9
Section 1
The membership may present amendments to the bylaws and will be ratified by three fourths (3/4) of the membership present at a regular scheduled meeting. The vote will take place at the next regular scheduled meeting after the presentation of changes has been made. Amendments once passed will take effect immediately.
Section 2
These Chapter bylaws and amendments will not supersede CVMA National Bylaws.
FINANCIAL
Article 10
Section 1
BOD Committee
The BOD Committee purpose is to oversee the development of the association’s budget and monitor its execution. They will have the authority to transact day to day limited financial business between regularly scheduled meetings of the full membership. In the case there is an emergency of a member the committee can be called to support that member. The Commander has the right to call a special meeting of the committee at any time. Any actions taken will be presented to the full membership at the next regularly scheduled meeting. The committee will be made up of the Chapters Board of Directors with the Commander presiding and will not have any voting privileges. Any vote for affirmation will have to be 3/4’s majority of the members in attendance. "Special" meetings may be attended by phone, in person or a combination thereof. Not more than $250.00 may be spent on any one cause at any "Special" meeting within a 30 day period. Further funding of any recipient of a "Special" meeting must be brought up and voted on by attending full members at the next "Regularly Scheduled" meeting and approved by a 51% margin with the Commander having the tie breaking vote.
Section 2
All distribution of funds not distributed as per Section 1 for Charlie Co, 3rd of the 4th must be discussed and voted on at any official meeting and must be approved by a simple majority (51% of voting members). Any member may submit request for fund support to the chapter with the following guidelines for distribution.
(a) Supporting Chapter Full Member, Auxiliary Member, or Support Member
Any member may nominate to the chapter, at a regular or special called meeting, support for a Charlie Co, 3rd of the 4th member that is in financial need. After the nomination and discussion is completed a vote can be taken of the attending members and if approved, distribution of funds can be completed immediately to support the member.
(b) Supporting Organizations, Nonmember Individuals, and Other Entities
Any member or organization can request or present to the chapter the need for support of funds from the chapter at any regularly scheduled meeting. In the event it is an organization the chapter’s discussion will not be in the presence of said organization. The vote for support may then be commuted to the next scheduled meeting after chapter discussions are completed. In the case of further information or documentation is requested from the chapter the vote may be extended until all request are satisfied by chapter members. If approved, funds will then be distributed at the discretion of the Commander and Treasurer.
Section 3
(a) All funds acquired by any Full Members, Auxiliary Members, or Support Members using the CVMA logo or CVMA name or on behalf of the CVMA for the purpose of charitable contributions must be turned over to the chapter Treasurer for deposit and/or distribution as directed by the membership.
(b) Any other revenue, cash reserve, or expenditures not covered in these Bylaws must be discussed at a regularly scheduled meeting and follow bylaw protocol.
Section 4
Charlie Co, 3rd of the 4th is a tax exempt 501 c status and in accordance with CVMA National Bylaws any chapter that has their own runs and checking account will stand as an individual entity and will be responsible for their own audit. Per the CVMA National Bylaws the chapter will submit a yearly report to the State Representative. The State Representative will in turn submit a financial statement to the National Treasurer. The report is due following close of the business year and not later than 15 Feb. Reports needs to include an itemized list of any donations made to eligible groups (example Veterans homes) and any monies raised from chapter sponsored events and all donations received from sources outside CVMA. A detailed of expenses for chapter operation are to be included as well.
FUND RAISING COMMITTEE
Article 11
Section 1
A committee will be formed yearly not later than 1 February by the Commander for the purpose of receiving all options available for the following year fund raising venues. The Commander will select a Fund Raising Committee Chairman which in turn can ask for up to 4 volunteers for support. The committee will present their recommendations to the membership at the regularly scheduled meeting in June.
Section 2
All fund raising proposals will be presented to the chapter and submitted to the Fund Raising Committee, not later than the May meeting, with as much details as possible with a written estimate of cost. It will be the charter of the committee to review all proposals for manpower support, legalities, and whether the chapter can financially support the event. Once the process is completed the proposals will be present to the chapter for vote, the vote will be simple majority (51%) and will determine the method of fund raising for the next year. The Chairman of the committee will be a nonvoting member unless it is a tie breaker.
NATIONAL BYLAWS CHANGES
Article 12
All future changes to the NBOD will automatically be incorporated into these bylaws.

Any vote for affirmation will have to be 3/4’s majority of the members in attendance. "Special" meetings may be attended by phone, in person or a combination thereof. Not more than $250.00 may be spent on any one cause at any "Special" meeting within a 30 day period. Further funding of any recipient of a "Special" meeting must be brought up and voted on by attending full members at the next "Regularly Scheduled" meeting and approved by a 51% margin with the Commander having the tie breaking vote.
Section 2
All distribution of funds not distributed as per Section 1 for Charlie Co, 3rd of the 4th must be discussed and voted on at any official meeting and must be approved by a simple majority (51% of voting members). Any member may submit request for fund support to the chapter with the following guidelines for distribution.
(a) Supporting Chapter Full Member, Auxiliary Member, or Support Member
Any member may nominate to the chapter, at a regular or special called meeting, support for a Charlie Co, 3rd of the 4th member that is in financial need. After the nomination and discussion is completed a vote can be taken of the attending members and if approved, distribution of funds can be completed immediately to support the member.
(b) Supporting Organizations, Nonmember Individuals, and Other Entities
Any member or organization can request or present to the chapter the need for support of funds from the chapter at any regularly scheduled meeting. In the event it is an organization the chapter’s discussion will not be in the presence of said organization. The vote for support may then be commuted to the next scheduled meeting after chapter discussions are completed. In the case of further information or documentation is requested from the chapter the vote may be extended until all request are satisfied by chapter members. If approved, funds will then be distributed at the discretion of the Commander and Treasurer.
Section 3
(a) All funds acquired by any Full Members, Auxiliary Members, or Support Members using the CVMA logo or CVMA name or on behalf of the CVMA for the purpose of charitable contributions must be turned over to the chapter Treasurer for deposit and/or distribution as directed by the membership.
(b) Any other revenue, cash reserve, or expenditures not covered in these Bylaws must be discussed at a regularly scheduled meeting and follow bylaw protocol.
Section 4
Charlie Co, 3rd of the 4th is a tax exempt 501 c status and in accordance with CVMA National Bylaws any chapter that has their own runs and checking account will stand as an individual entity and will be responsible for their own audit. Per the CVMA National Bylaws the chapter will submit a yearly report to the State Representative. The State Representative will in turn submit a financial statement to the National Treasurer. The report is due following close of the business year and not later than 15 Feb. Reports needs to include an itemized list of any donations made to eligible groups (example Veterans homes) and any monies raised from chapter sponsored events and all donations received from sources outside CVMA. A detailed of expenses for chapter operation are to be included as well.
FUND RAISING COMMITTEE
Article 11
Section 1
A committee will be formed yearly not later than 1 February by the Commander for the purpose of receiving all options available for the following year fund raising venues. The Commander will select a Fund Raising Committee Chairman which in turn can ask for up to 4 volunteers for support. The committee will present their recommendations to the membership at the regularly scheduled meeting in June.
Section 2
All fund raising proposals will be presented to the chapter and submitted to the Fund Raising Committee, not later than the May meeting, with as much details as possible with a written estimate of cost. It will be the charter of the committee to review all proposals for manpower support, legalities, and whether the chapter can financially support the event. Once the process is completed the proposals will be present to the chapter for vote, the vote will be simple majority (51%) and will determine the method of fund raising for the next year. The Chairman of the committee will be a nonvoting member unless it is a tie breaker.
NATIONAL BYLAWS CHANGES
Article 12
All future changes to the NBOD will automatically be incorporated into these bylaws.
THESE BYLAWS FOR CVMA, CHARLIE CO, 3RD OF THE 4TH MISSOURI WERE APPROVED BY CHAPTER MEMBERSHIP ON 19 APRIL 2012.
